The Legal Stuff!

1. Definitions

In these terms and conditions (The Terms) unless the context otherwise requires, the following words and phrases shall have the following meanings:

Customer material means any information provided by the customer to Wall panelling Ltd including without limitation, your details sizes , delivery details, requirements or any information provided in tech Enquiry or order:

'Enquiry' means any enquiry made of Wall panelling Ltd.

'Force Majeure Event includes any delay or failure to perform our obligations as set out in these terms where such a delay or failure to perform arises from circumstances beyond our reasonable control, including without any limitation any Act of God, communications failure, death destruction, fire, flood, strikes riots accident disruption to energy supplies, civil commotion, acts of terrorism or war:

Order confirmation, An order confirmation from Wall Panelling Ltd to you confirming receipt of payment and the acceptance of your offer.

'Price' means a price issued by Wall Panelling Ltd to you in response to an order confirmation and or, enquiry

Product means quality products produced by Wall Panelling Ltd from time to time available on the website.

Wall Panelling Ltd, us or we means Wall Panelling Ltd. Company number 6356553.

Website means the website for the sale of products at www.wallpanellingltd.com

'Writing' includes email, fax or other comparable means of communication.

'You, 'Your' or 'customer' means the person, firm or Company placing an order for Products with Wall Panelling Ltd.

2. Product Details

The products displayed on the website are not shown to actual site nor are their images binding in detail. Some products may appear slightly larger or smaller than actual size due to screen defaults and photgraphy techniques.

Products that are a personlised order may require some cutting,chamfering and mitring required during installation. Allow Tolerances of up to 50mm for manufacture.

Any thickness over 30 mm is NOT moisture resistant

Veneered products are NOT moisture resistant

All products are subject to availability.

3. Price of The Products

Due to the fluctuating prices of the constituent elements of the products the price of the products may vary if there is a delay between the time of order and when payment in full is received by Wall Panelling Ltd.  In these circumstances you may be requested to make an additional payment before the products can be dispatched to you. For products where items are custom works or any type of special order and  more than one design drawing, you will be asked when submitting your order, to pay an additional amount to the price offered on the website.

All products must be paid in full either verbally, email, fax or in writing by credit card details given, cheque or Bank transfer. before being crafted and dispatched

Time is not of the essence with any contract or design order and Wall Panelling Ltd.

Without prejudice if we discover an error in the price of the products offered we will contact you to resolve the situation

Any goods not paid for within 30 days of placing an order,  and from receivng no customer contact then Wall Panelling Ltd reserve the right to charge per day for stocking the items and/or reserve the right to have the items disposed of and shall have no liability to you for any loss, damage,costs, expense or other claims you may incur.

Any customers own goods that are not collected within 30 days of being at Unit 4 Myrtle Grove Ind Estate Waterfoot Lancs BB4 7JH then Wall Panelling ltd reserve the to charge per day for stocking the items and/or reserve the right to have the items disposed of and shall have no liability to you for any loss, damage,costs, expense or other claims you may incur.

One set of drawings are included within the price of the 18mm MR MDF made to order products and one alteration request ONLY.  Any additional alterations requested by the customer and Wall Panelling reserve the right to charge £50.00 per design alteration Once you have approved your design drawings and/or cutting list provided either verbally, by post, by email your product is made to your agreed approval.

4. Enquiries

By Making an enquiry you are agreed to be bound by these Terms & Conditions and our Privacy Policy.

5. Order Acceptance & Payment

Before your order can be accepted we must receive cleared funds or confirmation of authorisation of payment (where a credit card is used) the purchase prices specified in full without any deduction

Any deposit amounts received to confirm an order are non refundable.

Once payment has been received by us we will confirm your order has been accepted either by email or by post. Our acceptance of your order brings into existence a legally binding contract between us.

You must pay for the products by using any of the following methods:

Telegraphic Transfer,

credit or debit card, Cards accpeted by us are those listed on the website on the date your order is placed.

Wall Panelling Ltd may at its sole discretion cancel your order. You agree that in any event that Wall Panelling Ltd shall have no liability to you for any loss, damage,costs, expense or other claims you may incur.

You agree to indemnify Wall Panelling Ltd in full against all costs and outgoings incurred by us in obtaining payments from you in the event failed payment occurs.

No credit is given.

Our Right To Cancel

We reserve the right to cancel if one or more of the products you ordered was listed at an incorrect price due to a typographical error in the priccing information received by us from our suppliers or for any other reason. or

Force Majeure Event

We shall not be obliged to offer any additonal compensation for disappoinment suffered and we shall have no liability to you for any loss, damage, costs, expenses or other claims you may incur.

7. Delivery

As part of our insurance requirements and quality control procedures before any product is shipped the product is inserted into the packaging in the presence of a suitable individual and duly sealed.

We reserve the right to charge for and fulfil partial orders where the order Confirmaiton consists of multiple items.

Delivery will be made to the address specified in the Order Confirmation. Wall Panelling Ltd reserves the right to restrict the delivery of products to certain areas.

Subject to above clause we will take reasonable steps to deliver your order to you on the date specified in the Order Confirmation but delays may be caused and delivery can be delayed due to Force Majeure Events or for any other reason and Wall panelling Ltd does not warrant or guarantee the delivery date specified in the Order Confirmation and shall have no liability to you for any loss, damage, costs, expenses, or other claims that you may incur as a result of late delivery. The time for delivery of the Products shall not be of the essence of the contract.

You will become the owner of the products you have ordered when they have been delivered to you. Once they have been delivered to you they will be held at your own risk and we shall not be liable for their loss or destruction.

YOU MUST CHECK ALL YOUR GOODS FIRST BEFORE SIGNING FOR OR ACCEPTING THEM . WE SHALL HAVE NO LIABILITY TO YOU FOR DAMAGED OR DEFECTIVE GOODS THAT HAVE BEEN ACCEPTED AND/OR SIGNED FOR

We use We use national reputable carries to distribute all of our goods & cannot be directly liable for any items lost or damaged in transit but we will endeavour to help with any claims you may have.

It is essential that you open and check your goods before signing for them.

If any of the goods received seem to have been damaged or the packaging is damaged please sign for them damaged on the paperwork do not sign for them unchecked as this does not cover you or us for insurance claims.

Checking goods after you have signed for them is too late as we cannot claim for any damages occurred in transit without noting this on the couriers paperwork.

If your goods are damaged or defective in any way when being delivered to you, you must not accept the products. You MUST print on the delivery note' goods damaged and/or defective and MUST be returned by Delivery Company to Wall Panelling Ltd'.You MUST take photos of the damages/defectiveness and email Wall Panelling immediately to advise.

You must also telephone and email the courier Company .   Once the goods have been received back to Wall Panellling , new goods will be resent. Failure to print on the delivery note the above wording and return the damaged/defective goods waivers your right for replacement goods or any claim for damaged and or defective goods.

Events Beyond Our Control

We will endeavour to deliver the goods that you have purchased, as soon as possible, after the payment in full has been received.

We shall have no liability to you for any failure to deliver goods you have ordered or any delay in doing so or for any damage or defect to goods delivered that is caused by any event or circumstance beyond our reasonable control including wihtout limitation, strikes, lock outs, and other industrial disputes, breakdowns of systems or network access,flood, fire explosion or accident.

8 Right of Cancellation

A. Except for the products that are custom works, personalised, bespoke or special orders, you will be entitled to cancel your order by written notice to us by following the procedure in clause 10.

B. Products that are custom works, personalised or special orders cannot be cancelled or returned. This policy is in accordance with the EU Distance Selling Directive

C Deposits are non refundable.

  • . We are unable to offer a refund or exchange on personalised, made to measure, bespoke work. Should you wish to cancel your made to measure or made to order, it's unlikely that we could sell it to another customer. We therefore we charge a cancellation fee of 80% of the full selling price. In respect of these products our usual refund policy does not apply and products cannot be returned or exchanged.
  • Installations carried out by Wall Panelling Ltd are not time bound. Time is not of the essence of any contracts. Wall Panelling Ltd will not expressly agree verbally or in writing a definitive completion date due to the nature of made to order designs

 

9 Warranties & Refunds

Wall Panelling Ltd shall be under no liability to the customer for any loss, damage, costs, expenses or other claims in repect of

1.    any defect arising from wilful damage, negligence failure to follow fitting instructions (whether oral or in writing)

2. misuse or incorrect alteration of the product

3. For products not manufactured by Wall panelling Ltd, in respect of which the customer shall only be entitlted to the benefit of any such warranty or guarantee as is given to the manufacturer to Wall Panelling Ltd

4. any tooling or adhesive fixing required for fitting

5. Any cutting,sanding, chamfering or mitring required for fixing.

6 If you or your chosen installer are unable to follow any fitting instructions skills to undertake any installation work.

7. Any warping or cracking

8. There are no guarnatees on any designs or parts within the design that are not installed by Wall Panelling Ltd

9. The 'finishing'  ie painting, decorating, waxing, varnishing, french polishing,of the panels or any refinishing of the panels.

10. Pin Holes - We do not fill these holes . This should be completed by the decorator who is applying the topcoats

11.If you are ordering for a tradesman to fit for you, you must allow for the panelling items to arrive before booking the tradesman.

12. Your incorrect approval of your drawings

13. Acceptance ie signed for and/ or received , of damaged goods

14. Installers that are not Wall Panelling Ltd's installers

15. Any filling required

10 Returns Procedure

If you exercise your right to cancel under clause 8A the the following proceedure must be adhered to.

1. Secure the products and all the original packaging. You may wish to insure the product. Wall Panelling Ltd shall not be responsible for any items lost or damaged whilst shipping.

2. Clearly print your name and address on the outside of the package.  Including a letter confirming your order cancellation with your reason for cancellation. 

3. The Customer is responsible for paying return postage and packaging and no postage or shipping costs will be refunded. Proof of return postage must be evident.

The return must be received within 30 days from the date of the delivery of your order. Any items received after 30 days from the shipment date will not be accepted for refund.

Each item must be received in the same condition it was sent,uncut unused and undamaged. Damaged goods due to your negligence will not be accepted for refund.

11. Use of Website

You agree to use the website only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone elses use and enjoyment of the website

Wall Panelling Ltd gives no warranty or representation to the accuracy suitability or reliability of the information and content  of this website for any purpose, which information and content is provided on an 'as is' basis

Wall Panelling ltd does not warrant that functions contained in the website content will be uninterrupted or error free, that defects will be corrected, or Wall panelling Ltd or the server that makes it available are free of viruses or bugs. We shall have no liability for any direct, indirect, special or consequential loss arising out of the use of or the inability to use this website including (without limitation) reliance on any information or content of the website of which result mistakes, omission, interruptions, deletions or files or emails,defects, viruses or displays in operation or transmission.

The information on the website may contain technical inaccuracies or typographical errors and may be changed or updated without notice.Wall Panelling ltd may make improvements and or changes to the website at any time without notice.

Any information we receive from you will be dealt with in accordance with our Privacy Policy.

12. Complaints

Should be made in writing to within 5 days of receiving your goods for your complaint to be considered

Our service level agreement is to acknowledge your complaint within 7 working days and investigate the complaint within 28 working days

13. Intellectual property

All product designs are exclusive to Wall Panelling Ltd and remain the intellectual property of Wall Panelling Ltd

Wall Panelling ltd reserves the right to use the design in its advertising. Wall Panelling Ltd reserves the right to use any feedabck you provide on our website and in any of our material.

The content and images contained on this website and any Wall panelling material are the sole property of Wall Panelling Ltd. No part of this website or any of the designs on the website may be copied or used without the express permission of Wall Panelling Ltd.

Wall Panelling Ltd reserves the right to seek legal recourse if any of the designs are featured on this website are copied or plagierised.

13. General

Wall Panelling Ltd reserves the right to vary the content of these Terms from time to time with any changes being published on the website. Continued use of the website or any of its services will signify that you agree to any such changes

We may correct any typographical clerical or other error omission in any information issued by Wall Panelling ltd without incurring any liability on our part.

If any clause or part of a clause in these terms is held by any court or competent authority to be unlawful, invalid or unenforceable such clause or part shall be severed and the remaining provisions of these terms shall remain in full force and effect.

The contract between you and Wall Panelling Ltd shall be governed by English Law and you and Wall Panelling Ltd submit to the exclusive jurisdiction of the English Courts.

Sub Contractors & Wall Panelling Ltd

STANDARD TERMS AND CONDITIONS FOR SERVICES OF SUB-CONTRACTORS

These terms and conditions will apply to and govern all contracts under which a Sub-
Contractor agrees to render services to the Clients of the Company.
No variation of these terms and conditions shall be effective unless agreed in writing and
signed by a Director of the Company or its authorised representative.

1. DEFINITIONS
In these terms and conditions and in all contracts to which these terms and conditions
apply:
“The Company” shall mean Wall Panelling Limited.
“The Client” shall mean any firm or company to which your services are assigned by the
Company.

The Sub-Contractor” shall mean the individual described as such on the job advertisement
“The Fees” shall mean the fees payable to the Sub-Contractor, at the fixed rates agreed. The rates are calculated on the reasonable
expectation that the Sub-Contractor will complete the works within the period for
completion as reasonably estimated by the Client and with the high degree of technical skill expected by the Client and Contractor  

The sub contractor will correct unsatisfactory work in their own time and at their own expense.
The ‘sub contractor’ may hire someone to undertake the work or engage helpers at their own expense

The sub contractor may hire tools from the Company.

“The Works” shall mean the work allocated to the Sub-Contractor by the Client.

This is a contract for service and NOT a contract of employment/service

The sub contractor may regularly work for other people other than the Company


2. THE SUB-CONTRACTORS SERVICES
The Company will be responsible for allocating work to the Sub-Contractor and for
supervising the execution of the works by the Sub-Contractor. The Company shall not be
entitled, nor shall it seek to practice, to supervise, direct or control the Sub-Contractor in
the manner or execution of the works. The Sub-Contractor, therefore, will be exclusively
liable to the Company for any claim, loss, damage, cost or expense incurred by the Company or
arising otherwise in connection with act, omission or neglect on the part of the Sub-
Contractor in, or in connection with, the execution of the works. The Sub-Contractor will
carry out the contract work to the highest level of standards and in accordance with the Company's
requirement and use its best endeavours to complete the work within the time required by
the Company

SUBCONTRACTOR WARRANTIES

The Subcontractor warrants that the Subcontract Works to be carried out under this Agreement will be carried out with the highest skill and care by suitably qualified personnel.

DEFECTS

The Company may notify the Subcontractor of a Defect or request that the Subcontractor search for a Defect at any point.

 The Subcontractor must correct any Defects promptly so as not to prevent the Company from carrying out the work required under the Main Contract.

 All Defects must be remedied immediately the sub contractor has been notified of the defects

  The Company may authorise another party to correct any notified Defect that remains uncorrected at the Subcontractor’s expense.            
3. MATERIALS
The Sub-Contractor will be responsible for the provision of all materials required in the
execution of the Works.
4. PAYMENT
a) The Company will be solely responsible for the payment of Fees to the Sub-
Contractor. The
Sub-Contractor will submit to the Company’s Accounts Dept. on a monthly basis:-
i) Time sheets, invoices, the Companys sub contractor sheet signed by the subcontractor and a copy of the sub contractors current and valid public liability, paid for at the sub contractors own expense
ii) The Company
will endeavour to make payment in respect of all properly authorised invoices
so submitted, within ninety days.
b) Fees will only be paid for the Works actually performed for the Client, in particular,
there will not be any entitlement to receive any fees in respect of: -
Any period during which the Works have been prevented by sickness, accident or any
reason whatsoever.
c) The Company reserves the right to make deductions from the Fees either during or
on the termination of this Agreement for any monies owing to it by the Sub-
Contractor.
5. EXPENSES
The Company is not responsible for payment to the Sub-Contractor of any expenses incurred by the sub contractor for whatever reason
6. NATIONAL INSURANCE
The sub contractor is responsible for his own national insurance.
7. INCOME TAX
The sub contractor is responsible for his own income tax
8. PUBLIC LIABILITY INSURANCE
During the currency of every contract between the Company and the Sub-Contractor, the
Sub-Contractor MUST have his own public liability and a copy is required with all invoices submitted The sub contractor shall at his own expense maintain such insurances as required by law and with an insurance company of repute
9. HEALTH AND SAFETY AT WORK
The Company accepts no responsibility for the health, safety and protection from injury of
the Sub-Contractor or any of his/her property while engaged on the Works.
10. USE OF MOTOR VEHICLES
The Sub-Contractor shall not cause, nor permit the use of any motor vehicle for any
business purpose in connection with the Works, unless adequate third party insurance is
in force in respect of such use. The Sub-Contractor will at all times keep the Company
indemnified against any liability (whether in respect of any insured risk or otherwise)
incurred by the Company or arising in connection with the use of any motor vehicle for
any such purpose.
11. TERMINATION
a) If the Works shall not be performed with that high degree of technical and professional skill
as was expected by the Company/Client in agreeing the rates of the Fees, or if the
Sub-Contractor engaged on the Works shall be guilty of any criminal act, gross
default or other misconduct in connection with or effecting the Works,or any other gross misconduct ie false statements or claims of any kind, then the
Company may give notice to the Sub-Contractor terminating the use of the Sub-
Contractor’s services forthwith.
b) Subject to Paragraph a) above, the Company or the Sub-Contractor may terminate
any contract relating to the supply of the Sub-Contractor’s services at any time by
giving the other not less than the number of 1 days notice of such termination as stated

12. TRADE SECRETS AND INVENTIONS
The Sub-Contractor will not disclose, nor cause or permit to be disclosed, to any persons,
any trade secrets or other confidential information relating to the business of the Clients
unless such disclosure is made with the previous permission of the Clients.
Any intellectual property rights including patent or design rights, copyright or know how,
arising out of the Works performed by the Sub-Contractor shall be the property of the
Clients.
13. VALUE ADDED TAX
The rates quoted herein are exclusive of VAT unless expressly stated to the contrary.
14. RELATIONSHIP BETWEEN THE PARTIES
Nothing contained herein shall constitute the relationship of employer and employee, a
contract of employment or any partnership between the Company and the Sub-Contractor
or between the Client and the Sub-Contractor. The Sub-Contractor expressly
acknowledges that it is engaged under a contract for services only.

15. PERFORMANCE OF THE CONTRACTS
The Sub-Contractor will not sub-contract the Works to any company, partnership or
individual and the Works will be performed by the individual named overleaf unless
otherwise agreed in writing by the Company.
16. TRAINING CERTIFICATES
Any costs associated with obtaining and maintaining the Sub-Contractor’s training and
qualifications for the proper performance of the Works are at teh subcontractors expense
17. RULES AND PROCEDURES
The Sub-Contractor will comply with any applicable legislation and any requirements of
the Clients regarding health, safety and the environment. The Sub-Contractor will also
comply with all policies and workplace rules of the Clients.
18. DATA PROTECTION
The Sub-Contractor agrees that the Company is permitted to hold personal data about
the Sub-Contractor in accordance with and to the extent permitted by the Data Protection
Act 1998 and agrees that personal data which has been or is in the future obtained by the
Company may be held and processed by the Company for any purpose relating to the
administration, management and operation of this Agreement or the provision of services
by the Sub-Contractor or in relation to the Company’s legal obligations or business
needs. Processing may include transfer to countries or territories outside the European
Economic Area. The Sub-Contractor hereby agrees that the Company may disclose
personal data to third parties in the event that the disclosure is, in the Company’s view,
required for the proper conduct of the Company’s business.
19. GOVERNING LAW
The terms and conditions shall be governed by the English laws and the parties
submit to the exclusive jurisdiction of the English Courts.
